Why are you using the 2.6.38.2-grsec-xxxx-grs-ip6-32 kernel? Can you use a different kernel? FWIW I did a fresh default install of Ubuntu 10.04.3 and installed VMware Player 5.0.2, then created a VM and ran it without any issues and didn't have to download anything extra from the default install to get things to work.
BTW When you said "but after i will be afraid that the wiNE I'm running (1.01) will not work anymore." where you referring to Wine and if yes is there any reason you cannot upgrade it to a newer version if need be?
